Enterprise, Partner & White-Label Platform Use Disclaimer

Effective Date: July 25, 2025 Applies To: Enterprise clients, platform partners, agency resellers, joint venture operators, API users, and white-label platform licensees using CrownThrive's technology stack or services for their own branded purposes Governing Entity: CrownThrive, LLC Location: Gretna, Virginia Contact: [email protected]

1. Definition of Enterprise & White-Label Use

“Enterprise,” “partner,” and “white-label” usage refers to:

  • Clients who deploy CrownThrive-powered platforms under their own brand
  • Partners who manage their own sub-platforms (e.g., booking portals, e-commerce hubs, community spaces)
  • Agencies or consultants who resell our services or tools at scale to their clients
  • API or private integration users

These users are distinct from standard end users and are subject to enhanced obligations and review.

2. Custom Agreements & SLA Terms

Enterprise, reseller, or white-label usage requires a formal agreement, including:

  • Customized service-level agreement (SLA)
  • Platform branding, usage rights, and limitations
  • Performance expectations and uptime standards
  • Security, support tier, and billing commitments
  • Onboarding, migration, and exit terms

No white-label use is permitted without this binding agreement.

3. No Equity or Ownership Transfer

While enterprise clients may license or resell certain tools:

  • They do not own the source code, database architecture, or back-end systems
  • They do not gain equity, co-founder status, or intellectual property rights
  • Their license is temporary and revocable based on usage, breach, or non-payment

All underlying technology remains the exclusive property of CrownThrive, LLC.

4. Branding, Attribution & Public Use

Partners must:

  • Display appropriate CrownThrive credit if required by agreement
  • Not misrepresent themselves as founders or creators of CrownThrive
  • Ensure their clients understand they are interacting with a licensed solution (if not fully white-labeled)

False attribution or misleading public claims are grounds for termination.

5. Usage Limits & Fair Use

Enterprise plans come with specific usage caps based on:

  • Number of users or clients
  • API calls or transactions per day/month
  • Platform bandwidth or data storage
  • Volume of support or integration services

Exceeding these thresholds may result in overage fees, suspension, or renegotiation.

6. Client & User Responsibility

Enterprise partners are responsible for:

  • The actions of their users or clients within their platform instance
  • Compliance with all local laws and data privacy standards
  • Providing first-tier support before escalating to CrownThrive
  • Managing billing relationships if applicable

Partners must ensure their end users abide by CrownThrive’s global policies and terms.

7. Platform Performance & Liability

CrownThrive makes every effort to:

  • Maintain 99.9% uptime
  • Provide secure, scalable, cloud-hosted infrastructure
  • Offer timely support through premium channels

However, CrownThrive is not liable for:

  • Loss of partner revenue or client relationships
  • Downtime caused by force majeure, hosting issues, or misuse
  • Business disruption stemming from partner-side integrations

Enterprise and white-label use is provided as-is unless otherwise guaranteed in a signed SLA.

8. Termination & Exit

Either party may terminate a white-label or enterprise agreement with:

  • 30 days’ written notice (unless otherwise stated)
  • Immediate cause-based suspension for breach, misuse, or legal violation

Upon exit, the partner must:

  • Cease use of all branded materials
  • Return or destroy all confidential assets and licenses
  • Migrate or offboard clients without using CrownThrive systems post-termination
