CrownThrive Legal Depot – Binding Document of Intent and Governance

SECTION 1. MANDATE AND CONTRACTUAL INTENT

This legally enforceable Participation Agreement ("Agreement") is entered into by and between CrownThrive, LLC, a Virginia-registered Limited Liability Company, and the signatory Suite Professional ("Suite Pro"), an independent contractor approved for operation within the Melanin Magic Suites™ (MM Suites) infrastructure. MM Suites is the flagship physical manifestation of the CrownThrive™ Ecosystem — an integrated framework of platforms, brands, operational tools, and economic systems committed to high-impact, community-centered enterprise.

This Agreement governs participation within a designated Compact Site pilot located in one of the following Virginia jurisdictions: Gretna, Danville, Chatham, Altavista, or Lynchburg. It is executed digitally, with all terms binding upon acceptance, and remains in force unless explicitly replaced by a physical lease agreement issued per Suite Pro, location, and license category.

SECTION 2. DEFINITION AND OPERATION OF COMPACT SITES

Compact Sites are pilot MM Suites locations specifically configured to:

  • Demonstrate functional integration of CrownThrive platforms, tools, and automation
  • Validate QR-activated loyalty flows, digital scheduling, scan-to-book systems, and real-time analytics
  • Provide live operational data to inform national Suite configuration and franchising standards

Suite Pros agree to operate within an experimental, development-aware environment, accepting the evolving nature of:

  • API upgrades, UX adjustments, scent/brand/audio visual changes, and software patching
  • Loyalty systems, booking flows, and scan-based incentive models

Pilot participants are expected to contribute to the refinement of these environments, including:

  • Product feedback cycles
  • Tech usability audits
  • Reporting Suite-level anomalies or inefficiencies in performance via Kamora360

SECTION 3. LEASE DURATION, INCENTIVES, AND FLOOR PRICE FRAMEWORK

Suite Pros select one of the following lease durations:

  • Two (2) Years – introductory lease with early-stage ramp flexibility
  • Four (4) Years – mid-term commitment with advanced offset eligibility
  • Six (6) Years – long-term anchor lease with maximum benefit access

Each lease includes:

  • FLOOR PRICE hardship discounts triggered by earnings thresholds
  • Offset allowances based on time served and Suite Pro engagement level

FLOOR PRICE represents the minimum monthly rent due. This applies only if the Suite Pro’s 30% revenue contribution (see Section 5) fails to meet an agreed minimum operating threshold. Rent collection is managed exclusively by the Franchisee, who retains 100% of rental proceeds.

SECTION 4. PLATFORM-GENERATED REVENUE MODEL (70/30)

CrownThrive applies a 70/30 revenue share model across all Suite Pro bookings via ThriveSeat. The breakdown is as follows:

SECTION 5. SUITE PRO ROLES, STANDARDS, AND ACCOUNTABILITY

Suite Pros must:

  • Meet hygiene, professional conduct, and brand presentation expectations
  • Complete CrownThriveU onboarding and maintain updated compliance credentials
  • Actively respond to clients using required check-in, QR, and booking systems
  • Participate in loyalty campaign testing, affiliate programs, and platform updates

Failure to meet standards may result in:

  • Warnings and remediation plans
  • Loss of offset privileges
  • Deactivation pending investigation or override action

SECTION 6. GOVERNANCE ROLES

  • Franchisee: Collects rent, manages Suite logistics, coordinates with Suite Pros, initiates local overrides
  • Regional Licensee: Territory governance, audit and policy enforcement, legal elevation recipient
  • CrownThrive HQ: Ultimate authority on tech, platform rules, and override finalization

SECTION 7. PLATFORM INTEGRATION COMPLIANCE

Suite Pros must actively use and remain in good standing across the following integrated platforms and participation programs. Each platform serves as a critical operational node in the CrownThrive™ digital ecosystem and contributes to real-time data visibility, campaign participation eligibility, loyalty tracking, override consideration, and income generation pathways.

Continued usage, credential validity, and contribution within these platforms are required for full participation in Compact Site operations. Failure to comply may result in:

  • Reduced platform visibility
  • Loss of eligibility for overrides or campaign placement
  • Temporary deactivation or permanent removal pending performance audit

Suite Pros are further required to contribute to ecosystem-wide impact via the following extended CrownThrive programs:

  • Crown Affiliates: Suite Pros are required to maintain an active Crown Affiliates profile and regularly share branded affiliate links to promote MM Suites, CrownThrive platforms, and ecosystem products. Commissionable earnings are generated through qualified traffic and purchase activity tracked through CrownLytics. Participation also qualifies Suite Pros for platform-based override boosts and affiliate-tier visibility upgrades during campaign windows.
  • Crown Ambassadors: Suite Pros may be invited or nominated to serve as Crown Ambassadors—ecosystem representatives responsible for localized influence, Suite promotion, attendance at brand events, and active contributions to visual branding, photo shoots, livestreams, or product rollouts. Ambassadors gain early access to branded merchandise, override-exclusive campaigns, and cross-platform priority through CrownPulse and AdLuxe promotions.
  • CrownThriveU: Beyond initial onboarding, Suite Pros are encouraged to design and submit original video-based learning content, course series, tutorials, or in-person training activations that align with ecosystem values. CrownThriveU instructors receive royalties, campaign placement priority, and additional override credits. Content can include Suite operations, marketing training, health and wellness topics, or certified trade expertise.
  • ThrivePeer: As a mentorship infrastructure within CrownThrive, ThrivePeer enables Suite Pros to register as mentors or mentees in a structured, tiered guidance system. Mentors may be assigned clients or emerging professionals within the Suite network and are compensated through override credits, paid session bonuses, and curriculum-based commissions. Mentees gain early promotion placement, CrownThriveU access points, and affiliate path acceleration opportunities.

These programmatic engagements are logged within the Collab Portal and reported via Kamora360 for tracking purposes. Performance participation scores directly inform override eligibility and may trigger surprise campaign bonuses, referral tiers, or ThriveFund match contributions.

Suite Pros must actively use the following operational platforms to remain in good standing:

  • ThriveSeat (Bookings)
  • MyCrownRewards (Loyalty engine)
  • Crown Affiliates: Suite Pros promote MM Suites, CrownThrive brands, and partner via affiliate links.
  • Crown Ambassadors: Suite Pros selected or approved serve as ecosystem representatives, event hosts, and cultural influencers.
  • Kamora360 + Collab Portal (Support, HR, Maintenance)
  • CrownThriveU (Training and onboarding)
  • ThrivePush (Marketing/SMS)
  • CrownPulse (Client interaction analytics)
  • CrownLytics (Performance metrics)
  • AdLuxe Network (Local ads)
  • ThrivePeer (Mentorship)
  • CrownThrive IO (Docs and governance)

Platform usage is enforced with backend tracking.

SECTION 8. SUITE VISUAL AND PRODUCT ZONE REQUIREMENTS

Each Suite must include:

  • Melanin Magic Shelf (Mandatory)
  • Creator Spotlight Shelf (Mandatory)
  • CrownRewards QR Check-in (Mandatory)
  • Optional: ThriveSip, Funny Candle Co., ThriveThreads, Magic Soaps™, GSO display shelves

All visual zones must comply with CrownThrive’s scent/sound/brand rules.

SECTION 9. OVERRIDES AND POLICY ESCALATIONS

Overrides represent a system-level correction mechanism rooted in the official MM Suites Master Prospectus (August 3, 2025) and integrated across the CrownThrive™ Compact Site framework. They are used not only to uphold financial and operational integrity but also to dynamically generate revenue and protect long-term Suite viability.

According to the MM Suites prospectus, overrides may be enacted to:

  • Rebalance earnings across the 30% revenue share pool
  • Redirect booking traffic to underutilized Suite Pros or optimize revenue capture windows
  • Expand access to QR zones, add pop-up displays, or accelerate local campaign placements
  • Temporarily restructure affiliate commissions or offer double-earn windows to stimulate lagging revenue tiers
  • Trigger micro-campaigns, flash incentives, or loyalty acceleration programs (via ThrivePush and CrownPulse)
  • Invoke emergency promo overrides (e.g., ThriveWeek, GSO Drops, or Back-to-School Recovery Drives)
  • Assign Suite Pros temporary overrides to participate in Crown Affiliate marketing, Crown Ambassador duties, CrownThriveU course creation, ThrivePeer mentor sessions, or product/brand co-promotions

These overrides are not punitive—they are income-generating interventions to stabilize or stimulate economic flow within a given Compact Site and to reward Suite Pros for high-leverage contributions to the broader ecosystem.

All override assignments and redistribution events are tracked through Kamora360 and formally logged in the Collab Portal, visible to both Franchisees and Suite Pros. Income redistributions appear in the CrownLytics dashboard and are tied to override tier eligibility. Some overrides may activate ThriveFund or Ad Fund accelerators, resulting in pro rata bonuses for participating Suite Pros.

System triggers include:

  • Underperformance or Suite stagnation
  • Seasonal lulls or unexpected local traffic declines
  • Suite abandonment or delayed launches
  • Emergency shutdowns, regional illness, or disruption to operating hours
  • Missed marketing goals across a region or campaign channel

Suite Pros may appeal override-related redistributions or assignments within 7 business days via the Collab Portal. Appeals will be reviewed by CrownThrive HQ and finalized within 15 business days.

SECTION 10. CHLOM PROTOCOL ONBOARDING (Future Phase)

Upon rollout:

  • Suite Pros will receive a CHLOM Fingerprint ID
  • Licensing will be enforced via blockchain smart contracts
  • Overrides and earnings will auto-trigger compliance reviews via CHLOM engines

SECTION 11. LEGAL STATUS, TERMINATION, AND INDEPENDENCE

  • Jurisdiction: Virginia (based on Suite location)
  • Termination: 30 days’ notice or immediate voiding for cause
  • Contractor Classification: Suite Pros are not employees; all insurance/tax/license liability belongs to the Suite Pro

SECTION 12. DIGITAL SIGNATURE

By signing, Suite Pro agrees to:

  • All terms of participation and compliance
  • Platform use and brand zone display
  • Future onboarding into CHLOM
