Token-Based Voting, Licensing & Seat Protocol

1. Purpose

This policy enables the use of verified governance tokens to determine eligibility, activate seats, and facilitate voting and proposal rights through CHLOM™. It formally transitions governance into a hybrid-token model rooted in transparency, decentralization, and compliance.

2. Governance Token Requirements

Only CHLOM™-issued and platform-approved governance tokens may be used to:

  • Cast official votes
  • Activate or renew designation seats
  • Propose committee actions
  • Participate in special override or escalation ballots

All tokens are linked to the member’s identity, role, and CHLOM™ license status.

3. Token Issuance & Categories

CHLOM™ tokens are issued based on:

  • Verified contribution or tenure (e.g. ThriveAlumni members)
  • Board appointment or election win
  • DAO-style proposal support
  • Legacy designation grandfathering

Token categories include:

  • Type A: Full governance + voting rights
  • Type B: Limited voting or proposal rights
  • Type C: Observer and non-voting seat access

Tokens are non-transferable, non-saleable, and revocable if compliance is breached.

4. Seat Activation Protocol

To officially activate or renew a designation seat, members must:

  1. Complete digital identity verification via CHLOM™
  2. Accept licensing and role responsibilities
  3. Hold and stake the minimum required token threshold
  4. Submit the activation request and await moderator approval

Only activated seats have voting or decision-making power.

5. Voting Eligibility and Procedures

Each eligible voter must:

  • Be credentialed via CHLOM™
  • Hold the minimum required token for voting weight
  • Participate via encrypted digital ballot or verified smart contract vote

Voting thresholds for passing proposals are based on token-weighted quorum rules outlined in the CHLOM Governance Engine.

6. Revocation & Suspension

Tokens may be revoked if:

  • Member is found in violation of conduct or ethics policies
  • Fraudulent identity or seat activity is detected
  • Role is abandoned or misused
  • Compliance terms are not re-affirmed each term

Suspensions may be temporary or permanent and are logged on the CHLOM™ governance ledger.

7. Oversight & Expansion

The Governance & Tokenization Committee, under the Executive Council, is responsible for:

  • Auditing token activity
  • Reviewing activation fraud claims
  • Approving new token issuance requests
  • Recommending seat cap expansions and eligibility tiers

Founders retain override authority for emergency enforcement or structural resets.
