Founder Authority & Emergency Powers Policy

1. Purpose

This policy codifies the role of CrownThrive Founders as the primary custodians of the ecosystem’s vision, mission, and governance continuity. It ensures that all branches—including ThriveAlumni, CHLOM-integrated protocols, and investor-backed expansions—remain aligned with CrownThrive’s founding principles.

2. Scope of Founder Oversight

Founders maintain irrevocable oversight of the following: Strategic direction and public representation of CrownThrive Appointment and removal of executive leadership across any platform Approval of constitutional amendments and governance policy updates Override of any vote, policy, or partnership in conflict with core values Final say in mergers, acquisitions, or corporate restructuring

3. Emergency Powers

Founders may invoke emergency authority in cases of: Verified attempts at hostile takeover or election stacking Fraud, collusion, or coordinated governance collapse Legal threats or compliance violations that impact multiple platforms Sudden executive vacancy or organizational instability Threats to data, assets, brand, or member safety Powers include: Freezing elections, seats, or campaigns Temporarily revoking admin access or voting rights Dissolving or reassigning committees with Board notice Deploying emergency taskforces or third-party audits

4. Veto & Override Rights

The Founders’ 2/3 supermajority may veto: Any Board or Committee decision that conflicts with ecosystem values Investor decisions that threaten ownership integrity Amendments to governing documents without community consultation Overrides are recorded and reviewed quarterly by the Governance Committee for documentation, with final archival to CHLOM.

5. Succession & Expansion Control

Founders control the expansion or contraction of: Board seats, committee types, and designation categories Platform integrations and licensing under the CrownThrive name Share class allocations and token issuance thresholds Any Founder seat may only be vacated: By voluntary resignation Death or permanent incapacitation Unanimous vote by remaining Founders plus a 3/4 community referendum

6. Limitations & Transparency

Founders must: Publicly declare use of emergency powers within 7 days Submit reports to ThriveAlumni and CHLOM record-keeping systems Not use emergency power to silence dissent or suppress democracy Accountability is enforced through Governance Committee reviews, community appeals, and CHLOM’s judicial modules.

7. Legal Recognition
