Policy Effective Date: July 30, 2025 Applies To: ThriveAlumni, CrownThrive, LLC, Boards, Committees, Investors, Advisors, Governance Councils

I. CATEGORIES OF GOVERNANCE ROLES (Validated as of 181 Designations)

Governance Roles are officially structured into seven primary categories:

  1. Board Roles (Core + At-Large)
  2. Executive Committee Roles
  3. Advisory & Legal Oversight Roles
  4. Committee Chairs & Vice-Chairs
  5. Special Appointees & Investigatory Officers
  6. Administrative & Election Support Designations
  7. Expansion & Reserve Slots (Designation #101–#181)

Each designation now has:

  • Defined reporting structure
  • Assigned term length and rotation eligibility
  • Role-based permissions
  • Assigned committee (if applicable)

II. NOMINATION, ELECTION, & CAMPAIGN PROCEDURE

2.1 Candidacy Declarations

All nominations must:

  • Be submitted via the ThriveAlumni dashboard
  • Include a manifesto, CV, and optional media file
  • Include payment of the applicable nomination fee (non-refundable unless rejected)

2.2 Fees & Refund Policy

  • Designation Tiers 1–3: $50 nomination fee
  • Special Appointments or Expansion Roles: $25 nomination fee

Fees fund system verification, ballot moderation, and voting logistics. No refunds except for admin rejection before publication.

2.3 Campaign Protocol

  • Campaigns open 14 days prior to the voting window
  • Candidates must follow CrownThrive ethics policy
  • No outside solicitation allowed beyond platform-hosted events or messaging

III. COMMITTEE STRUCTURE, ROTATION, & TERM LENGTH

3.1 General Term Limits

  • Board Members: 5 years
  • Committee Chairs: 3 years
  • Assistants, At-Large, and Administrative Staff: 1–2 years
  • Investigatory and Emergency Appointees: Extendable per review

3.2 Judicial/Investigatory Role Exception

  • Renewable terms based on open or pending investigations
  • Must submit monthly or bi-monthly reports to the Board
  • Compensation is determined by the Executive Finance Committee

IV. COMPENSATION & ACCOUNTABILITY

  • All roles may be compensated with stipends, bonuses, and profit-sharing options
  • Performance audits occur biannually
  • Missing three consecutive meetings, falsifying documents, or misconduct leads to:
    • Warning
    • Board hearing
    • Potential removal and bar from future elections

V. CHLOM INTEGRATION PLAN

CHLOM (Compliance Hybrid Licensing & Ownership Model) is being adopted as the future compliance, governance, and tokenized equity framework across:

  • Board Elections (DAO-based licensing structure)
  • Committee Participation (smart contract-based credentialing)
  • Member Voting (token-weighted & validated)
  • Platform Licensing (Decentralized Licensing Authority)

Phased Governance Plan:

  • Phase I: Mapping designations to CHLOM seats
  • Phase II: Token-based nominations and election ledger
  • Phase III: Cross-platform decentralized governance deployment

All CrownThrive members and ThriveAlumni affiliates will receive updated licenses, access levels, and CHLOM onboarding.

VI. HOSTILE TAKEOVER DEFENSE & FOUNDER PROTECTION

Blue Pill (Proactive):

  • Max 25% turnover in one election cycle
  • Investor voting caps (max 10% governance weight)
  • Cross-committee rotation cooldown

Red Pill (Emergency):

  • Temporary role freeze
  • Founders veto and rollback rights
  • Capital buyback clause for coercive investors
  • Special Oversight Committee deployment

All policies are enforced by the Ethics Committee and CHLOM audit triggers.

VII. LLC TO C-CORP TRANSITION (CrownThrive, LLC)

Triggers:

  • $5M+ Funding
  • 500+ voting members
  • Public CHLOM deployment

Share Allocation Plan (upon conversion):

  • Class A: 35% (Founders, Core Execs)
  • Class B: 20% (Team + Strategic Investors)
  • Class C: 25% (ThriveAlumni + CHLOM Token Holders)
  • Reserved Shares: 20% (IPO, Merger, Acquisitions)

All shares governed by CHLOM’s blockchain ledger and CrownThrive's articles of incorporation.

VIII. REPORTING OBLIGATIONS BY ROLE

IX. FINAL ENFORCEMENT CLAUSE

No designation, appointment, or election result may override:

  • The CHLOM Core Governance Code
  • ThriveAlumni's Judicial Oversight Protocol
  • CrownThrive Founder Protection Agreements

Any violations are subject to audit, arbitration, and removal pending review.
