ThriveAlumni Governance & Nomination Policy

1.0 Purpose

This policy governs the leadership structure, nomination and election procedures, membership expectations, and removal processes of ThriveAlumni, a platform operated by CrownThrive, LLC. It ensures strategic alignment, legal accountability, and ethical stewardship across all roles.

2.0 Governance Structure

2.1 Board of Directors (Permanent)

  • Holds ultimate authority over strategic, fiduciary, and high-level governance decisions.
  • Comprised of permanent members, including all Founders of CrownThrive, LLC.
  • Approves budgets, leadership appointments, initiatives, and major policy changes.

2.2 Executive Committee

  • Oversees operational execution and ecosystem growth.
  • Composed of Executive Director, Deputy Executive Director, and Platform/Functional Directors.
  • Implements Board-approved directives and manages platform infrastructure.

2.3 Advisory Committee

  • Offers expertise in governance, innovation, legal, investment, DEI, and strategy.
  • Serves 5-year renewable terms.
  • Provides guidance to the Executive Committee and Board.

3.0 Founders' Authority

3.1 Absolute Removal Authority

  • Founders may remove any Board or Committee member at any time, with or without cause.
  • This action requires no vote or justification and cannot be appealed.

3.2 Required Approvals

  • All other forms of removal (via Board or Member vote) must receive a two-thirds (⅔) approval by the Founders.
  • Founders are permanent Board members and hold dual legal-governance authority.

4.0 Nominations & Elections

4.1 Eligibility

  • Only verified ThriveAlumni members in good standing may nominate or be nominated.
  • Nominees must submit:
    • Valid identification or verification
    • A personal statement (manifesto)
    • A professional bio and portfolio

4.2 Submission Process

  • All nominations must be submitted via a secure online form.
  • Each submission includes:
    • Desired committee/designation
    • Election term
    • Non-refundable nomination fee (varies by role)

4.3 Election Process

  • Voting rights are limited to verified ThriveAlumni members.
  • Each voter may cast one vote per open seat.
  • All votes are secured via encrypted, anonymous ballots.

4.4 Appointments

  • Special appointments are allowed for:
    • Interim roles
    • Expert-based advisory needs
    • Strategic opportunities requiring rapid execution
  • All appointments must be approved by the Board or Founders (depending on role).

5.0 Removal & Resignation

5.1 Founder-Initiated Removal

  • Founders may remove any leader at any time without notice or cause.

5.2 Peer or Member Removal

  • Requires ⅔ Board vote + ⅔ Founder approval.
  • Member-led recalls must:
    • Include a formal petition
    • Contain signatures from 25% of active, verified members
    • Still receive ⅔ Founder approval to proceed

5.3 Resignation

  • Must be submitted in writing
  • Acknowledgment required from Board Chair or relevant Committee Chair

6.0 Terms & Compensation

6.1 Term Limits

  • Committee members serve 5-year terms
  • Board members are permanent unless removed

6.2 Compensation

  • Board roles may include:
    • Stipends
    • Salaries
    • Equity packages
  • Committee roles may receive:
    • Honorariums
    • Milestone incentives
    • Travel reimbursements
  • All compensation must be approved and disclosed by the Board

7.0 Code of Conduct

7.1 Expectations

  • Act in CrownThrive’s best interest
  • Maintain confidentiality
  • Disclose conflicts of interest
  • Be responsive, ethical, and present in your role

7.2 Violations

  • May result in warnings, suspensions, or permanent removal
  • Final enforcement authority lies with the Founders

8.0 Refund Policy

8.1 No Refunds for Governance Fees All nomination, application, and leadership-related fees are non-refundable, regardless of:

  • Non-selection
  • Resignation
  • Incomplete applications
  • Disqualification for misconduct

9.0 Policy Updates

  • Only the Founders may revise or amend this governance policy.
  • Changes will be communicated through the Collab Portal and Legal Depot.
  • Continued participation constitutes acceptance.

10.0 Legal Jurisdiction

This policy is governed by the laws of the Commonwealth of Virginia, USA. All disputes will be resolved through binding arbitration within the jurisdiction of Virginia.
