1. Purpose
To ensure healthy leadership rotation, prevent stagnation, and enforce integrity by defining how long members can serve, when reappointments are valid, and when suspension is required due to misconduct, neglect, or violations of duty.
2. Standard Term Lengths
- Board Members: 5-year terms
- Committee Chairs/Vice Chairs: 3-year terms
- Advisory Roles: 2-year renewable terms
- Assistants & Appointees: 1-year renewable terms or as assigned
All roles are renewable pending review and performance evaluation. CHLOM™ tracks all term start/end dates immutably.
3. Reappointment Conditions
Members may be reappointed only if:
- No unresolved ethical, conduct, or conflict-of-interest flags exist
- Their performance reviews show a minimum 80% compliance rate
- At least one full nomination cycle has passed if previously removed
- There is documented need for continuity or unopposed reelection
Special appointees must be reauthorized by the Founder Council or via 2/3 Board vote.
4. Term Limit Exceptions
Term extensions may occur in these scenarios:
- Emergency governance gaps (max extension: 6 months)
- Founders issuing a direct override for continuity
- Strategic projects requiring same leadership through conclusion
- Absence of suitable replacements after two nomination cycles
Each exception must be logged in the Legal Depot with timestamped Board justification.
5. Suspension Triggers
A member is subject to automatic review or suspension if they:
- Miss three consecutive quarterly reports or meetings without valid excuse
- Violate ethics or conduct policies outlined in the Code of Conduct
- Are flagged by CHLOM™ or another committee for governance breach
- Interfere with election results, votes, or committee quorum
- Refuse lawful cooperation in audits or investigations
Suspensions are temporary (30–180 days) pending review unless escalated to removal.
6. Suspension & Reinstatement Process
- Governance Risk or Compliance Committee issues formal notice
- Member has 5 business days to respond in writing
- Review conducted by Judicial Review or Founder Panel
- A decision issued within 10 business days
- Reinstatement (if granted) occurs after public notice and conditions are met
All decisions, reinstatements, and appeals are archived and reported to the Advisory Committee.
