Token-Based Voting, Licensing & Seat Activation Protocol

1. Purpose

This policy governs the issuance and use of CHLOM™ governance tokens and licensing credentials to activate and validate all eligible voting seats, leadership roles, and decision-making powers across CrownThrive's ecosystem, ensuring tamper-proof digital authority.

2. Scope

Applies to: All governance seats within ThriveAlumni, CrownThrive, and affiliated platforms Nominees, elected officers, committee chairs, and advisory board members Voting members participating in proposals, campaigns, or ballots Ecosystem contributors holding governance tokens

3. Token Types

3.1 CHLOM Governance Tokens (CGT): Used to grant access to ballots, cast votes, and submit proposals. 3.2 CHLOM Seat Tokens (CST): Unique NFTs tied to official leadership seats and board positions. 3.3 CHLOM Utility Tokens (CUT): Used for transactional access to CHLOM features (e.g. arbitration services, audits, or reporting).

4. Seat Activation Rules

Every active leadership seat must be linked to a valid CST issued through the CHLOM™ platform. Seats cannot be activated without the token, verified wallet, and signed license agreement. Expired or revoked tokens disable voting and governance privileges instantly.

5. Voting Protocol via Tokens

Each vote is cast using CGT tokens staked through CHLOM’s secure contract interface. Token-based ballots are weighted if allowed by role tier or vesting. Snapshot blocks ensure time-sensitive ballot integrity. 5.1 Voting Eligibility Requirements: Verified identity and wallet Active governance license Token threshold met or exceeded

6. License Issuance & Expiry

All seat tokens must be linked to a CHLOM-issued role license, signed digitally. Licenses are valid for 1–3 years depending on designation. Renewal notifications are sent 30 days prior to expiration. Revoked or unclaimed licenses nullify token functionality.

7. Delegation & Proxy Voting

Governance token holders may delegate voting power through CHLOM’s proxy system. Proxies must be licensed and verified via DLA review. Delegation contracts are time-bound and transparent on-chain.

8. Token Recovery & Inheritance

Lost access may be restored through the CHLOM Dispute Protocol after 3-step KYC validation. In case of death or legal incapacitation, CST ownership follows inheritance protocols via Will Registry or Executor submission.

9. Audit & Tamper Protection

All governance tokens are subject to audit via CHLOM’s zero-knowledge AI agents. Suspected fraud, stack manipulation, or token laundering results in freeze, blacklisting, and license suspension. All token data is public and archived on-chain via the CHLOM Governance Ledger.

10. Violations & Enforcement

Any misuse, manipulation, or fraudulent acquisition of governance tokens results in: Immediate nullification of all held tokens Banned access from all governance ballots Legal action per the CrownThrive & CHLOM Operating Agreement 📌 Document Version: v1.0 📅 Effective Date: July 30, 2025 📁 Maintained by: Digital Licensing Authority (DLA) · CHLOM Token Governance Unit · CrownThrive Risk Compliance Division
